These Terms & Conditions ("Terms") govern your access to and use of the DevContext website and services. By visiting our website, submitting a form, or engaging us for services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
DevContext provides retrieval architecture design, LLM fine-tuning, context optimization, and enterprise AI adoption services ("Services") to engineering teams. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written statement of work or service agreement, which takes precedence over these Terms for that engagement.
You agree to use our website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of, this site by any third party. You may not attempt to gain unauthorized access to any part of the website, introduce malicious code, or scrape content without our written consent.
Any project involving access to your data, systems, or infrastructure will be governed by a signed statement of work and, where applicable, a data processing agreement. We will not begin processing client data, models, or infrastructure until the relevant agreement has been executed by both parties.
Unless otherwise agreed in a statement of work, DevContext retains ownership of its pre-existing tools, frameworks, and methodologies used to deliver the Services. Deliverables created specifically for a client under a paid engagement are owned by that client upon full payment, excluding any DevContext background IP incorporated into them, which is licensed to the client for their internal use.
Fees, invoicing schedule, and payment terms are set out in the applicable statement of work. Unless stated otherwise, invoices are due within 30 days of receipt. Late payments may result in suspension of ongoing work until the account is brought current.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement, and to use it only for the purposes of that engagement. This obligation survives the completion or termination of any engagement.
The website and general content on it are provided "as is" without warranties of any kind. To the fullest extent permitted by law, DevContext's total liability arising out of or related to the Services will not exceed the fees paid by the client for the specific engagement giving rise to the claim, and DevContext will not be liable for indirect, incidental, or consequential damages.
Either party may terminate an active engagement in accordance with the notice period specified in the relevant statement of work. Sections relating to confidentiality, intellectual property, payment for work performed, and limitation of liability survive termination.
These Terms are governed by the laws of the jurisdiction in which DevContext is incorporated, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts located there, unless otherwise agreed in a signed statement of work.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
